Terms & Conditions of
Service Engagement.

Last updated: September 2026. These Terms govern your commercial engagement with Zaki SMMA. We believe in clear, fair commercial relationships founded on mutual performance and complete transparency.

1. Master Services Agreement

By engaging Zaki SMMA for performance marketing, paid advertising management (Meta Ads, Google Ads), technical SEO, social media management, web design, or content creation, the client agrees to be bound by these Terms and Conditions alongside any specific Scope of Work (SOW) signed in a client onboarding agreement.


2. Media Spend & Direct Account Ownership

We operate under a 100% transparent client-sovereign model:

  • Direct Platform Billing: All paid advertising media expenditure (Meta, Google Ads, TikTok) is billed directly by the advertising platform to the client’s credit card or billing profile. Zaki SMMA never marks up ad spend or pools client media funds into agency accounts.
  • Permanent Account Ownership: The client retains 100% ownership and administrative rights to all Business Managers, Google Ads accounts, Google Search Console properties, and analytics profiles. If an engagement terminates, the client retains full account history and audience data.

3. Intellectual Property Rights

Upon settlement of agreed retainer fees and project milestones, the client owns full, perpetual intellectual property rights to all custom assets produced during the engagement, including:

  • Raw 4K video footage, edited UGC video ads, motion graphics, and static ad creatives.
  • Custom HTML5, CSS3, and JavaScript codebases developed for landing pages and website storefronts.
  • Direct-response copywriting, hook matrices, and email sequences.

4. Retainers, Payments & Cancellation Terms

Unless otherwise stipulated in a signed SOW:

  • Retainers are billed monthly in advance via electronic funds transfer (EFT) or automated credit card billing.
  • Engagements operate on an agreed initial term (typically 90 days to allow for algorithmic learning and creative stabilization), after which services continue on a rolling month-to-month basis with a standard 30-day written cancellation notice.

5. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and interpreted in accordance with the substantive laws of the Republic of South Africa. Any dispute arising out of or in connection with this agreement shall be subject to the non-exclusive jurisdiction of the Western Cape High Court in Cape Town.
